Distributor Agreement

1. Introduction

This Distributor Agreement ("Agreement") is entered into between Future Lifecare & Biotech Pvt. Ltd. ("Company") and the individual registering as a Distributor. By registering, the Distributor agrees to be bound by all the terms and conditions stated herein.

2. Independent Distributor Status

The Distributor is an independent contractor and shall not be considered an employee, agent, legal representative, or partner of the Company in any manner.

3. Eligibility

Minimum age of 18 years
Valid KYC documentation required
Only one registered ID allowed per person

4. Registration & Activation

Purchase of a product or package is required for activation
Registration is subject to company approval

5. Compensation Plan

Compensation is based on the company's approved plan
No guaranteed income is assured to any distributor

6. Income Claim Restriction

No false or guaranteed income claims are allowed
All communication must follow company guidelines strictly

7. Payment & Payout

Valid KYC is mandatory for any payout
5% TDS and 5% Admin Charges will be deducted from earnings

8. Downline Ownership Protection

No distributor owns their downline members
Team shifting or poaching of downline members is strictly prohibited

9. Non-Compete

Distributors are prohibited from promoting or actively participating in any competing MLM company while associated with Future Lifecare & Biotech Pvt. Ltd.

10. Code of Conduct

Distributors must not share false information, engage in unethical practices, or act in any manner that could harm the reputation of the company or fellow distributors.

11. Product Promotion Rules

No medical claims, treatment promises, or guaranteed cure representations may be made while promoting any company product. All promotions must be truthful.

12. Rank & Reward Policy

Ranks and rewards are based on defined criteria
The company may modify or cancel rank/reward structures at any time

13. Inactive Account

Distributor accounts that remain inactive for an extended period may be suspended or deactivated as per company policy without prior notice.

14. Termination

Agreement may be terminated for violations or fraudulent activity
Pending earnings may be blocked upon termination

15. Indemnity

The Distributor is solely liable for their own actions, statements, and conduct. The company shall not be held responsible for any third-party claims arising from distributor activities.

16. Limitation of Liability

The company shall not be held liable for any financial loss, indirect damage, or consequential losses suffered by any distributor.

17. Intellectual Property

All logos, trademarks, brand assets, and proprietary content are protected company assets and must not be used without prior written permission.

18. Legal Compliance

All activities must comply with applicable Indian laws including the IT Act, GST laws, Direct Selling Rules 2021, and all company policies.

19. Dispute Resolution

Any disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the courts in Thane, Maharashtra.

20. Amendments

The company reserves the right to update, modify, or amend any part of this agreement at any time without prior notice to the distributor.

21. Acceptance

By completing registration as a distributor, you confirm that you have read, understood, and agreed to all the terms of this Distributor Agreement.
